Zaakira focuses on all aspects of corporate law, including acquisitions and disposals, crafting constitutional documents for different types of entities, B-BBEE transactions incorporating minority protections, commercial arrangements, transaction advisory, due diligence reviews and corporate governance.

In addition, she provides regulatory and compliance advice to companies in a wide variety of sectors with regard to licence applications as well as the development and implementation of regulatory compliance frameworks.

Representative Experience:

  • Assisted in advising a large investment management company on a ZAR300 Million B-BBEE transaction.
     

  •  Assisted in advising one of the largest South African asset management firms on its rights as a creditor in the restructuring of a major retail company with respect to convertible instruments totalling ZAR1.2 Billion.

  • Assisted in advising a US-based company on the establishment of a US$1 Billion infrastructure development fund.
     

  • Assisted in a due diligence review for a large private equity investment fund relating to a 91.3% acquisition of the issued share capital of a large wine and spirit producer and distributor.
     

  • Assisted in advising two major commercial banks with an over-the-counter Derivatives Provider Licence application, including where necessary, drafting new policies and frameworks to facilitate compliance with the Conduct Standards published in terms of the Financial Markets Act.
     

  • Assisted in advising a large investment management company on various increase in shareholdings and subsequent exemption applications to the Takeover Regulation Panel, including an increase in shareholding in one of the oldest bookstores in Southern Africa as well as a large insurance broker company.
     

  • Assisted in advising a major concession company on its obligations in terms of the Protection of Personal Information Act (“POPIA”) and subsequently conducting a large-scale compliance review including the design and implementation of a tailored POPIA compliance framework.
     

  • Part of the team that advised a major concession company in relation to a dispute and arbitration with the Provincial Government.
     

  • Assisted in advising a leading global oil and gas corporation with respect to a Wholesale Petroleum Licence.
     

  • Designing a tailored health and safety compliance framework and checklist for a major concession company.
